The SEC said tokenized stocks on a venue are subject to symbol and volume limits, and the venue must verify that a token provides the same rights and privileges as the equivalent traditional stock. Smart contracts must be public and auditable on a public permissionless distributed ledger. A venue must stop tokenized trading when the underlying stock is halted on its primary listing exchange and must publicly disclose information about operations and affiliated trading.
The relief is broader than the venue alone but not permanent
The order also provides temporary, conditional dealer relief for certain liquidity providers using proprietary capital in a venue's liquidity pool. The exemptions are scheduled to expire five years after publication. Temporary relief does not remove investment risk, guarantee liquidity, validate every token design, or resolve every custody, settlement, technology, tax, contractual, or insolvency question for a participant.
